Terms of Service

Effective Date: April 19, 2026

Trellis is a product of Trellis Ads LLC, a Utah limited liability company. These Terms of Service ("Terms") govern your access to and use of the Trellis advertising analytics platform at trellisads.com (the "Service").

By creating an account, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

2. Definitions

• Service — The Trellis advertising analytics platform, including trellisads.com, its APIs, and all associated features.
• Platform — A third-party advertising or e-commerce service (e.g., Google Ads, Microsoft Advertising, Shopify) that you connect to Trellis.
• Client — A business entity that maintains a Trellis account.
• User — Any individual with login access to a Trellis account.
• Account — Your registered Trellis account, including all associated data and settings.
• Content — Any data, reports, recommendations, or other materials generated by or through the Service.
• Your Data — Information you provide to Trellis or that Trellis retrieves from Platforms on your behalf.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the accuracy of your information and update it as needed.
• Keep your password secure and confidential. You are responsible for all activity that occurs under your account.
• Notify us immediately at hello@trellisads.com if you suspect unauthorized access to your account.

Access to Trellis is currently available by invitation. Invitation links expire after 24 hours. We may limit onboarding pace to maintain service quality.

One account per person. Sharing account credentials is prohibited. If multiple people at your organization need access, each must have their own account.

4. Service Description

Trellis is an advertising audit and analytics platform. The Service:

• Connects to your advertising platforms (Google Ads, Microsoft Advertising) and e-commerce platforms (Shopify) via API.
• Retrieves campaign performance data, account structure, and related metrics.
• Generates audit reports containing performance analysis, profitability assessment, and optimization recommendations.
• Tracks account changes over time and measures their impact.
• Monitors credential health and platform connectivity.

The Service is informational and analytical in nature. Trellis reads your data and surfaces insight. We do not manage, optimize, or execute changes on your behalf.

5. Platform Access and Credentials

a. Authorization

When you connect a Platform to Trellis, you authorize us to access your Platform account data via API using the credentials you provide (OAuth2 tokens or service account keys). This authorization is governed by the respective Platform's terms of service.

b. Read-Only Access

Trellis does not make changes to your advertising accounts. We do not adjust bids, modify budgets, create or pause campaigns, add or remove keywords, or make any other modifications. All Platform access is read-only.

c. Credential Security

All Platform credentials are encrypted at rest using industry-standard symmetric encryption. Credentials are only decrypted at the moment of use for authorized API calls. All credential access is logged in an immutable audit trail.

d. Revocation

You may disconnect any Platform at any time through your account settings. You may also revoke access directly through the Platform's own security settings (e.g., Google Account > Security > Third-party apps, or Microsoft Account > App permissions). Upon disconnection, stored credentials are deleted immediately.

6. Subscription and Billing

a. Plans and Pricing

The Service is offered under subscription plans with varying features, audit allocations, and data retention periods. Current pricing is available at trellisads.com/pricing. We also offer one-time audit purchases.

b. Payment Processing

All payment processing is handled by Stripe, Inc. By subscribing, you also agree to Stripe's terms of service. We do not store your full credit card number, expiration date, or CVV on our servers.

c. Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Annual subscriptions are billed as a single payment at the start of each annual period.

d. Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be notified at least 7 days before renewal.

e. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Monthly subscriptions: Access continues until the end of the current billing period. No refund for the remaining days of the current period.
• Annual subscriptions: Access continues until the end of the current annual period. Pro-rata refunds for unused annual subscription time are available if requested within 30 days of renewal. After 30 days, no refund is issued.

f. Failed Payments

If a payment fails, we will notify you and retry the charge up to 3 times over 10 days. If all retries fail, your account will be suspended. You will have 30 days to update your payment method before your account is terminated. During suspension, you cannot run new audits, but you retain read access to existing reports.

g. Audit Credit Packs

Additional audits beyond your plan allocation may be purchased as prepaid credit packs. Credits are valid while your subscription is active. If your subscription lapses, unused credits are frozen and restored if you resubscribe within 90 days. After 90 days, unused credits expire.

h. Price Changes

We may adjust subscription pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel before it takes effect.

7. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Service.
• Share account credentials with individuals who do not have their own authorized accounts.
• Scrape, crawl, or programmatically access the Service in any manner not authorized by our API documentation.
• Use the Service for competitive intelligence gathering — specifically, using Trellis to reverse-engineer our methodology, analysis approach, or report generation techniques for the purpose of building a competing product.
• Upload malicious content such as malware, viruses, or code designed to disrupt the Service.
• Misrepresent your identity or impersonate another person or organization.
• Use the Service in violation of any applicable law, regulation, or the terms of service of any connected Platform.
• Exceed rate limits or abuse API access in a manner that degrades the Service for other users.

Violation of this section may result in immediate account suspension or termination.

8. Intellectual Property

a. Trellis Ownership

Trellis and its licensors retain all rights, title, and interest in the Service, including its user interface, design, report templates, analysis methodology, scoring algorithms, prompts, and underlying software. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.

b. Your Data

You retain all ownership rights to Your Data. By using the Service, you grant Trellis a limited, non-exclusive license to access, retrieve, process, and store Your Data solely for the purpose of providing the Service. This license terminates when you delete your account or disconnect the relevant Platform.

c. Aggregate Data

We may create de-identified, aggregated data derived from your use of the Service ("Aggregate Data"). Aggregate Data does not identify you or any individual end user. We may use Aggregate Data for any lawful business purpose, including product improvement, benchmarking, and research. Aggregate Data is not Your Data and is not subject to deletion or portability obligations.

d. Audit Reports

Audit reports are generated by the Service using Your Data. Trellis retains ownership of all report formats, templates, analytical frameworks, and the underlying methodology used to generate them. We grant you a perpetual, irrevocable, royalty-free, non-exclusive license to use, copy, share, and distribute reports generated for your account for any lawful business purpose. This license survives termination of your account.

9. AI-Assisted Analysis Disclaimer

Trellis uses AI to analyze your advertising data and generate audit reports. You acknowledge that:

• Reports are informational, not prescriptive. Recommendations reflect analytical observations based on your data. They are not guarantees of advertising performance, and past results do not predict future outcomes.
• Trellis does not provide financial, legal, or professional advice. You should evaluate all recommendations in the context of your business before acting on them.
• You are solely responsible for any changes you make to your advertising accounts. Trellis provides analysis only — we do not make changes to your accounts and bear no responsibility for the outcome of actions you take.
• AI-assisted analysis has inherent limitations. While we apply rigorous data validation, generated reports may occasionally contain inaccuracies. We provide quality and confidence signals within reports to help you assess reliability.
• Your data is not used for AI training. See our Privacy Policy for details on how your data is processed.

10. Data Handling

Your data is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Key commitments:

• We access your Platform data in a read-only capacity.
• We never sell, rent, or trade your data to third parties.
• Platform credentials are encrypted at rest and access is logged.
• Sub-processors used to deliver the Service are listed in the Privacy Policy.
• You may request data export or deletion at any time.
• Your rights under applicable state privacy laws (including the Utah Consumer Privacy Act) are described in the Privacy Policy.

11. Service Availability

a. Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice when possible).
• Unscheduled maintenance to address security vulnerabilities or critical bugs.
• Circumstances beyond our reasonable control, including third-party Platform outages, hosting provider incidents, or force majeure events.

b. No Uptime SLA

The Service is provided without a formal uptime service level agreement (SLA). We will make commercially reasonable efforts to maintain availability and will communicate outages promptly.

c. Platform Dependencies

The Service depends on third-party Platform APIs (Google Ads API, Microsoft Advertising API, Shopify API). Changes, outages, or deprecations of these APIs may affect the Service's ability to retrieve data or generate reports. We are not responsible for third-party Platform availability or API changes.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Trellis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or advertising performance changes, regardless of whether we were advised of the possibility of such damages.

• Trellis shall not be liable for:

  • Changes in your advertising performance, whether positive or negative, following the implementation of any recommendation from an audit report.
  • Missed optimization opportunities or delayed recommendations.
  • Third-party Platform outages, API changes, policy updates, or data accuracy issues.
  • Unauthorized access to your account resulting from your failure to maintain credential security.

• Our total aggregate liability for any and all claims arising out of or related to these Terms or the Service shall not exceed the total fees you paid to Trellis during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• Audit recommendations will improve your advertising performance.
• Data retrieved from third-party Platforms is accurate, complete, or current.
• The Service will meet your specific requirements.
• The Service will be uninterrupted, timely, secure, or error-free.
• Any errors in the Service will be corrected.

14. Indemnification

You agree to indemnify and defend Trellis, its officers, directors, employees, and agents against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service in violation of these Terms.
• Your violation of any applicable law or regulation.
• Your violation of the terms of service of any connected Platform.
• Any unauthorized changes you make to your advertising accounts.
• Any dispute between you and a third party related to Your Data.

15. Termination

a. Termination by You

You may cancel your subscription and delete your account at any time through your account settings or by contacting us at hello@trellisads.com.

b. Termination by Trellis

We may suspend or terminate your account if:

• You violate these Terms, including the Acceptable Use policy.
• Your payment is more than 30 days overdue.
• We have reason to believe your account poses a security risk.
• We are required to do so by law or court order.

We will provide reasonable notice before termination when circumstances permit, except in cases of security risk or legal obligation.

c. Effect of Termination

Upon termination:

• Your right to access the Service ceases immediately.
• You will have a reasonable period to export your audit reports and account data, after which all associated data will be deleted in accordance with our Privacy Policy.
• Platform credentials are purged immediately.
• Any outstanding payment obligations survive termination.
• Provisions that by their nature should survive (including Sections 8, 9, 12, 13, 14, and 16) will survive termination.

16. Dispute Resolution

a. Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law provisions.

b. Informal Resolution

Before filing any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at hello@trellisads.com. We will attempt to resolve the dispute through good-faith negotiation for a period of 30 days.

c. Venue

If informal resolution is unsuccessful, any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Utah, United States. You consent to the personal jurisdiction of such courts.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

• We will provide 30 days' notice before the changes take effect.
• Notice will be delivered via email to your registered address and displayed as a banner within the Trellis application.
• Continued use of the Service after the 30-day notice period constitutes acceptance of the updated Terms.
• If you do not agree with the changes, you may cancel your account before the changes take effect.

Changes required to comply with applicable law or address security concerns may take effect immediately. Non-material changes (formatting, clarifications) may be made without notice. The effective date at the top always reflects the most recent revision.

18. General Provisions

a. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

b. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by Trellis.

c. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Trellis may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

d. Entire Agreement

These Terms, together with the Privacy Policy and any subscription-specific terms presented at the time of purchase, constitute the entire agreement between you and Trellis regarding the Service and supersede all prior agreements, understandings, and communications.

e. Force Majeure

Trellis shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, such as natural disasters, war, terrorism, pandemics, government actions, infrastructure failures, or third-party outages.

f. Notices

Notices to you will be sent to the email address associated with your account. Notices to Trellis should be sent to hello@trellisads.com. Notices are effective upon delivery.
